Terms & Conditions

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“Client,” “you,” or “your”) and Metamorphosis-USA LLC (“Metamorphosis,” “we,” “us,” or “our”). By purchasing, enrolling in, or accessing any of our programs or services, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

1. Services Offered

Metamorphosis-USA LLC provides entrepreneurial development services designed to transform how business owners see their business and themselves. Our services may include, but are not limited to, one-on-one program sessions, calls, and related advisory engagements (collectively, “Services”).

The specific deliverables, session structure, duration, and scope of each engagement are described in the program documentation or service agreement provided at the time of enrollment. We reserve the right to modify our service offerings or program structure at any time, provided that any changes will not affect services already purchased.

2. Enrollment and Payment

Enrollment

Enrollment in any Metamorphosis-USA LLC program or service is confirmed upon receipt of full payment or an agreed-upon payment arrangement. An initial consultation call does not constitute enrollment and creates no financial obligation on the part of either party.

Payment Terms

  • All fees are stated in US Dollars (USD) and are due as specified at the time of purchase
  • Payment plans, where offered, require timely installment payments as agreed. Failure to complete installment payments may result in suspension of services until payment is received
  • All payments are processed through secure third-party payment processors. We do not store your full payment card details
  • Returned payments, chargebacks, or disputed transactions will result in immediate suspension of services pending resolution. Chargeback fees incurred by Metamorphosis-USA LLC will be passed on to the Client

Taxes

You are responsible for any applicable sales tax, VAT, or other taxes associated with your purchase, as required by the laws of your jurisdiction.

3. Our Commitment to You & Refund Policy

Our Commitment: We stand behind the value of our work. If at any point during the program you feel the work isn’t making a real difference in how you see your business, tell us. We will extend sessions, adjust our approach, or redesign the plan at no additional cost until it does. Our goal is not to deliver sessions — it is to deliver transformation you can feel.

Initial Consultation Call

Our initial consultation call is a genuine conversation about your business. We show up prepared to understand where you are and whether our program is the right fit. If after the call we both feel the work could make a real difference, we will have that conversation. There is no financial obligation attached to the initial call.

Satisfaction Guarantee

We are committed to delivering genuine value throughout our engagement. If you feel that our work together has not made a meaningful difference, please contact us at [email protected] before requesting a refund. We will make good-faith efforts to address your concerns, adjust our approach, or extend the engagement at no additional cost. Our preference is always to resolve dissatisfaction through continued work, not through a refund.

Refund Schedule

In cases where continued engagement is not feasible or desired, the following refund schedule applies:

  • Before Session 1 has been delivered: Full refund, less any payment processing fees, upon written request
  • After Session 1: Refund of up to 50% of total program fee, less payment processing fees, at our sole discretion
  • After Session 2: Refund of up to 25% of total program fee, less payment processing fees, at our sole discretion
  • After Session 3 or beyond: No refund is available. All fees paid are non-refundable

Discretionary Refund Decisions

All refund requests after Session 1 are evaluated on a case-by-case basis at the sole discretion of Metamorphosis-USA LLC. In evaluating a refund request, we consider factors including but not limited to: Client participation and engagement, completion of between-session work, attendance at scheduled sessions, and whether the Client has made good-faith efforts to apply the guidance provided.

No refunds will be issued in the following circumstances:
  • Client fails to attend two or more scheduled sessions without 24-hour advance notice
  • Client fails to complete agreed work or preparation between sessions
  • Client requests a refund citing dissatisfaction with results, where those results depend on Client implementation of guidance delivered
  • Client has received and used program materials, frameworks, templates, or other intellectual property delivered as part of the program
  • Refund request is submitted more than 14 days after the session giving rise to the complaint

Results Disclaimer

Metamorphosis-USA LLC delivers frameworks, guidance, and support designed to transform how you see your business. The results you achieve depend on your active participation, willingness to apply what is delivered, and the specific circumstances of your business. We do not guarantee specific business outcomes, revenue results, or time savings. Any examples of results shared in our materials represent individual outcomes and are not guarantees of what you will achieve.

How to Request a Refund

All refund requests must be submitted in writing to [email protected] with the subject line “Refund Request — [Your Name].” Please include your name, purchase date, program or service, and the reason for your request. We will acknowledge your request within 3 business days and provide a decision within 10 business days.

4. Scheduling, Rescheduling, and No-Shows

Scheduling

Upon enrollment, sessions will be scheduled using our online booking platform or by mutual agreement. You are responsible for maintaining an up-to-date calendar and ensuring your availability for scheduled sessions.

Rescheduling

You may reschedule a session by providing at least 24 hours advance notice via email or through our booking platform. Sessions rescheduled with less than 24 hours notice may be counted as a delivered session at our discretion.

No-Shows

If you fail to attend a scheduled session without prior notice, that session will be counted as delivered and forfeited. Two no-shows within a single program may result in suspension or termination of services without refund.

Our Cancellations

In the rare event that we need to cancel or reschedule a session, we will provide as much advance notice as possible and will work with you to find an alternative time. We will not charge for any session we cancel.

5. Client Responsibilities

The success of the engagement depends on your active participation. By enrolling, you agree to:

  • Attend all scheduled sessions on time and prepared
  • Complete between-session work and implementation tasks as assigned
  • Provide honest and complete information about your business during sessions
  • Communicate promptly if you are experiencing challenges that affect your participation

Metamorphosis-USA LLC reserves the right to modify the program approach, session content, or timeline if Client circumstances require it, in our professional judgment.

6. Intellectual Property

All materials, frameworks, and content delivered as part of any Metamorphosis-USA LLC engagement are the intellectual property of Metamorphosis-USA LLC and are protected by applicable copyright and intellectual property laws.

License to Use

Upon full payment of your program fee, you are granted a non-exclusive, non-transferable, limited license to use the delivered materials for your own internal business operations. This license does not include the right to:

  • Reproduce, resell, sublicense, or distribute any program materials to third parties
  • Use Metamorphosis-USA LLC materials to develop competing programs, courses, or consulting services
  • Share program materials publicly without written permission from Metamorphosis-USA LLC

Termination of services for any reason does not transfer ownership of any intellectual property to the Client.

7. Confidentiality

Both parties agree to treat as confidential any proprietary, sensitive, or non-public information shared during the course of the engagement. Metamorphosis-USA LLC will not disclose your business information to third parties except as necessary to deliver the services or as required by law. You agree not to disclose Metamorphosis-USA LLC’s proprietary methodologies, program frameworks, or business information to competitors or third parties.

This confidentiality obligation survives the termination or completion of the program.

8. Session Recording and Testimonial Consent

Recording of Sessions

Metamorphosis-USA LLC records client sessions for quality assurance, program documentation, and potential use as illustrative content. By enrolling and participating in any session, you acknowledge this practice.

Consent Process

During your first paid session, we will ask for your verbal consent to be recorded and for the use of session content as described in this section. Your verbal consent, captured on that recording, serves as your authorization for all subsequent sessions in the same engagement. If you do not wish to provide consent, please notify us in writing prior to your first session at [email protected].

How We Use Recordings

We will only use recorded session content to illustrate the delivery of our programs and the value clients receive from working with us. We will never use recordings that contain sensitive business information, financial details, proprietary client data, or any personal information you share in confidence.

Transcription and AI-Assisted Delivery

Sessions are transcribed to support the delivery of your program. Before any transcription is used with AI-assisted tools, it is processed to remove personally identifiable information and sensitive business data. Anonymized transcriptions may be retained to improve the accuracy and quality of our service delivery over time.

Your Rights

You may revoke your consent to the use of recorded content at any time by notifying us in writing at [email protected]. Upon receipt, we will cease any future use of your recorded content. Revocation does not affect any use that occurred prior to your notification.

Testimonials and Case Studies

Any use of your name, likeness, or attributed statements in our marketing materials requires your separate explicit written consent. Participation in any testimonial or case study is entirely voluntary.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Metamorphosis-USA LLC, its founders, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including but not limited to lost revenue, lost profits, loss of data, or business interruption.

Our total liability to you for any claim arising from our services shall not exceed the total amount you paid to Metamorphosis-USA LLC in the three months preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

10. Disclaimer of Warranties

Our services are provided on an “as is” and “as available” basis. We make no warranties, express or implied, regarding the fitness of our services for any particular purpose, the accuracy of information provided, or the results you will achieve.

11. Governing Law and Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to conflict of law principles. Any dispute that proceeds to formal resolution shall be heard exclusively in the state or federal courts located in North Carolina, and both parties consent to personal jurisdiction in that venue.

Informal Resolution

Before initiating any formal dispute process, both parties agree to attempt to resolve any dispute informally by contacting us at [email protected]. We will make good-faith efforts to resolve the matter within 30 days.

Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising from or relating to these Terms or our services shall be resolved by binding arbitration conducted in North Carolina, administered by a mutually agreed-upon arbitration service, rather than in court. The arbitration shall take place in English and the arbitrator’s decision shall be final and binding.

You waive the right to participate in any class action lawsuit or class-wide arbitration against Metamorphosis-USA LLC.

12. Termination

Metamorphosis-USA LLC reserves the right to terminate or suspend services at any time if:

  • The Client engages in abusive, harassing, or disrespectful behavior toward our team
  • The Client breaches any material provision of these Terms
  • Payment obligations are not met
  • Continuation of services would, in our professional judgment, be harmful to either party

In the event of termination by Metamorphosis-USA LLC for cause, no refund will be issued for sessions already delivered. If termination is initiated by Metamorphosis-USA LLC without cause, a pro-rated refund for undelivered sessions will be provided.

13. Modifications to These Terms

We reserve the right to update these Terms at any time. Updated Terms will be posted on this page with a revised “Last Updated” date. For active clients, material changes will be communicated by email. Your continued use of our services after any change constitutes acceptance of the revised Terms.

14. Entire Agreement

These Terms, together with any program-specific agreements, service descriptions, or payment confirmations provided at the time of enrollment, constitute the entire agreement between you and Metamorphosis-USA LLC regarding the subject matter herein and supersede all prior communications, representations, or agreements.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
